Victor Macallister: If you want to dissolve a corporation, from a legal standpoint, you would need to file a Certificate of Dissolution with the Secretary of State's office where the corporation was formed. There may be some other requirements that need to be met before this form is accepted by a state agency, such as a Tax Clearance (some states only). My suggestion is to contact a corporate service company that handles these transactions daily and is familiar with the different processes with each state. They could at least let you know if there are any extra steps besides filing the Dissolution form. A reputable and informative company is Corporate Research Solutions.
